Terms of Service

1. Introduction and Acceptance

Welcome to Game Day Roster ("Platform," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our custom sportswear ordering platform, which enables teams, universities, and organizations to manage rosters, configure custom apparel, and process orders through a unified workflow.

By accessing or using Game Day Roster, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Game Day Roster is a multi-tenant software-as-a-service (SaaS) platform that provides:

• Quote management and order processing for custom sportswear
• Roster management with sport-specific player information
• Self-service sizing collection for players and team members
• Product catalog configuration for brands and manufacturers
• Multi-role access including customers, sales representatives, brand administrators, manufacturers, and platform administrators

3. User Accounts and Responsibilities

To access certain features of the Platform, you must create an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

3.1 Age Requirements

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create a Coach, Brand Administrator, Sales Representative, or any other organizational account on the Platform.

3.2 Minor Athletes

Athletes under the age of 13 (or under 16 for users located in the European Union) may only have their personal data included in a roster if their legal parent or guardian has completed the Guardian Consent Workflow as initiated through the Platform. The Platform will not process or store personal information of minor athletes without verified parental consent as required by applicable law, including the Children's Online Privacy Protection Act (COPPA) and the General Data Protection Regulation (GDPR) where applicable.

4. Acceptable Use Policy

You agree not to use the Platform to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Platform or other user accounts
• Interfere with the proper functioning of the Platform
• Use automated systems to access the Platform without our permission
• Infringe on intellectual property rights of others
• Submit false, misleading, or fraudulent orders or information

4.1 Coach and Organization Responsibilities

Users who create rosters or manage teams on behalf of an organization (including coaches, team managers, and administrators) have additional responsibilities:

• Accuracy of Guardian Information: When providing contact information for a minor athlete's legal guardian, you represent and warrant that such information is accurate, current, and provided in good faith. You are responsible for ensuring that guardian contact details are correct to facilitate the Guardian Consent Workflow.
• Certification of Authority: By creating a roster or adding athletes to an existing roster, you certify that you have the authority from your organization (team, school, club, or league) to initiate the roster creation process and to collect the necessary information for ordering custom sportswear.
• Compliance with Privacy Laws: You agree to comply with all applicable privacy laws regarding the collection and handling of personal information, particularly as it relates to minor athletes and their guardians.

Failure to provide accurate guardian information or misrepresenting your authority may result in order delays, account suspension, or termination.

5. Intellectual Property

The Platform, including its design, features, and content, is owned by Game Day Roster and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our express written permission.

You retain ownership of any content you submit to the Platform, such as logos, designs, and roster information. By submitting content, you grant us a non-exclusive, worldwide license to use, store, and display such content as necessary to provide the Platform services.

5.1 Roster Data and Guardian Rights

While the organization retains ownership of roster data as a whole, the legal parent or guardian of a minor athlete has the overriding legal right to request the deletion of that specific minor's personal data at any time. Upon receipt of a valid deletion request from a verified guardian, we will remove the minor athlete's information from the roster, which may result in that athlete being removed from any pending or future orders. Organizations acknowledge that guardian data deletion requests take precedence over organizational roster ownership and agree not to re-add a minor athlete's information after a guardian has exercised their deletion rights.

6. Payment Terms

Payment processing is handled through Stripe, a third-party payment processor. By placing an order, you agree to:

• Provide accurate payment information
• Pay all charges incurred through your account
• Comply with Stripe's terms of service

Subscription fees, if applicable, are billed in advance on a recurring basis. Refund policies are determined by individual brands and manufacturers operating on the Platform.

7. Orders and Fulfillment

Orders placed through the Platform are fulfilled by the respective brands and manufacturers. We facilitate the ordering process but are not directly responsible for:

• Product quality or specifications
• Shipping and delivery timelines
• Returns and exchanges (governed by individual brand policies)

Disputes regarding orders should be directed to the applicable brand or manufacturer through the Platform.

7.1 Parental Consent for Minor Athletes

Orders that include items for minor athletes (under 13 years of age, or under 16 in the European Union) are subject to the following requirements:

• Order Processing Dependency: Items for minor athletes will not be processed and manufacturing will not begin until Verifiable Parental Consent has been received through the Platform's Guardian Consent Workflow.
• Partial Order Fulfillment: If an order contains items for both adult athletes and minor athletes, items for adult athletes may be processed and fulfilled separately while awaiting guardian consent for minor athletes.
• Consent Expiration: Guardian consent requests that remain incomplete after the timeframe specified by the organization may result in the minor athlete being excluded from the order at the organization's discretion.

The Platform is not responsible for order delays or incomplete orders resulting from pending or denied guardian consent. Organizations should account for the guardian consent process when planning order timelines.

8. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access to the Platform if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

Upon termination, your right to use the Platform will cease immediately. Provisions that by their nature should survive termination will remain in effect.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, Game Day Roster and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Platform.

Our total liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Game Day Roster and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.
